Trail Directory Services, Inc. (Publisher), publisher of the website HorseTrailDirectory.com - Horse Trails and Campgrounds (http://www.horsetraildirectory.com) and ___________________________________ (Advertiser) agree to the following terms and conditions (Agreement):
1. Publisher will display banner(s) and/or text message(s) (Advertising) provided by Advertiser on web pages specified by Advertiser and agreed to by Publisher. Such advertising may be either static or dynamic. If it is dynamic, Advertiser has sole responsibility for creating and hosting dynamic content and providing operational links to such content. Publisher's sole responsibility regarding dynamic content is to install Advertiser-provided scripts and/or links to content.
2. Advertiser warrants that its content is not controversial or slanderous in any way and is appropriate for all ages.
3. Both Publisher and Advertiser are independent contractors and this Agreement is the entire agreement.
4. The term of the Agreement is for 30 days. It will automatically renew on a month-to-month basis unless terminated by either party with written notice (including email) to the other party. If Publisher terminates the Agreement, it shall continue displaying the advertising until the pre-paid advertising fee is earned, provided however that if in Publisher's sole judgment the Advertising violates the terms of this Agreement Publisher shall immediately cease display of Advertising and return any unearned payment. At Publisher's option, it may refund unearned pre-paid fees. If Advertiser terminates Agreement, it shall be responsible for fees earned up to the date of notice of termination.
5. Limitation of liability: Advertiser and Publisher understand that there is no guarantee of results with advertising. Publisher's liability for any reason is limited to the fees earned in the most recent 30 days prior to termination of Agreement.
6. Fees are payable in advance:
A. Top of Home Page: Full banner or text $250.00 per month
B. Placement in the "Sponsor Area": $2.00 per day or $50.00 per month
C. Top of Page that lists trails for each state: Full banner or text $35.00 per month per state
